minutes of the extraordinary General Meeting 2006

Minutes of extraordinary general meeting in connection to the DUDS Autumn meeting October 2006, Århus:

1/welcome.

-DUDS President, Christian Nolsøe (CN), welcomes you to the extraordinary general Assembly and would like to thank you for a fine and well planned autumn meeting.

NBM informs that the general Assembly is timely notice is given and shall explain the purpose of the extraordinary general meeting: annual meeting, april 2006, DUDS At Copenhagen, was following amendments on board the work proposed in order to bring the articles of Association in accordance with the actual situation and in order to ensure continuity in the work of the Board. Because not enough members showed up to this spring’s general Assembly, the amendment could not be adopted formally, and placed, therefore, to an extraordinary general meeting.

  “The company is managed by a Board of Directors that is elected among the members at the annual general meeting and they work from the following 1. June. The Board consists of a President, a Vice-President, a Secretary, who at the same time, the editor, a Treasurer, and an additional member, all of whom are elected individually by simple majority. All Board members are elected for 2 years at a time. Immediate re-election may take place once. A member who has served on the Board for 4 years, can only nyvælges to the Board of Directors, when at least two years have elapsed since the last mandate. However, can a member who has served on the Board for 4 years, immediately be selected as President for 2 years. At the annual general meeting elected one auditor and one alternate auditor. Re-election can take place. “

Are discussed in the Assembly, on the extended term of from 4 to 6 years can cause a greater risk to people pulling out of turn and how to fix any problems if a next President withdraws from his Office. The change performed by DUDS annual meeting 2007, København, where during hht. the new wording should be chosen a next President plus one alternate member to the Board of Directors. When the current President, CN, DUDS for spring has a remaining term of 1 year, will be the new next President elected with a total term of five years (1 year as next President, 2 years as President and two years as immediately departed President).
